VariOrb NDA Review & Signature Portal

This Agreement ("Agreement") is entered into as of [Effective Date], by and between VariOrb, Inc., a Delaware corporation ("Company") and [Recipient Name], an independent technology contributor and member of the VariOrb technical team ("Recipient"). Company and Recipient may each be referred to as a "Party" and collectively as the "Parties."

1. Purpose

Recipient may receive confidential information in connection with:

• Engineering or technical services
• Consulting, advisory, or contractor activities
• Business, investment, or partnership discussions
• Collaboration or development projects

Recipient agrees to use such information solely for the agreed Purpose.

2. Definition of Confidential Information

Confidential Information includes non-public technical, AI methodology, and business information such as:

• Architecture diagrams, APIs, SDKs, data models
• Algorithms, workflows, automation logic
• Security frameworks and telemetry pipelines
• Product roadmaps, pricing models, customer data

3. Exclusions

• Information already public
• Information lawfully known prior
• Independently developed information
• Information obtained legally from third parties

4. Confidentiality Obligations

• Maintain strict confidentiality
• Use information only for the Purpose
• Protect information with reasonable safeguards
• Limit access to authorized personnel only

5. Non-Use and Competitive Safeguard

Recipient shall not use Confidential Information to create or assist in developing competing systems, replicate platform logic, or exploit the information commercially.

6. Trade Secret Protection

The Parties acknowledge the Confidential Information may include trade secrets and proprietary technology.

7. Intellectual Property Ownership

All Confidential Information remains the exclusive property of VariOrb, Inc.

8. Work Product Assignment

Any work created in connection with services for the Company shall be owned exclusively by the Company.

9. Feedback

Feedback provided by Recipient may be used by the Company without restriction.

10. Non-Solicitation

Recipient shall not solicit Company employees, contractors, or customers for 12 months after termination.

11. Return or Destruction of Information

Recipient must return or destroy all Confidential Information upon request.

12. Governing Law

This Agreement is governed by the laws of the State of Delaware.

13. Entire Agreement

This document constitutes the entire agreement between the Parties.

14. Electronic Signatures

The Parties agree that electronic signatures, including signatures captured through this digital signature portal, shall be deemed equivalent to original signatures and shall be legally binding under applicable law.
